1. Sale of equipment, parts & accessories
The Client agrees to purchase equipment, parts, or accessories from Luma Solutions LTD under the terms outlined below:
a. Purchase Agreement
i. Luma Solutions LTD will provide the purchased items once all agreements are signed and payments are completed.
ii. A signed Agreement or Customer Sales Order is required for each purchase.
iii. After-sales support, including device parts and accessories, is not provided for free unless covered under warranty. Future accessories and parts are chargeable.
iv. All devices, handles, and accessories are non-refundable and non-exchangeable.
2. Payment a. Payment Terms
i. Clients must pay the full amount for each item unless a different payment plan is agreed upon. Full payment is due within 30 days of the initial deposit, regardless of the delivery date.
ii. Luma Solutions LTD may withhold deliveries if payments are not made on time.
iv. All purchases are final with no refunds or exchanges.
v. All purchases exclude VAT and applicable taxes. The purchaser is responsible for any licenses required on the equipment.
3. Deposit a. Deposit Requirements
i. A deposit is required to secure your device order before delivery and training.
ii. The remaining balance must be paid within 30 days of the deposit, regardless of delivery or training dates.
iii. The full deposit amount, as stated on the purchase order/invoice, must be paid when signing this agreement.
iv. This deposit is non-refundable if the order is cancelled, as production begins upon payment.
v. A calling-off period of 48 hours applies upon signing the agreement.
4. Delivery a. Delivery Terms
i. Delivery cost is included with all devices. If a delivery is missed, the client may need to pay for redelivery.
ii. Unless stated otherwise, delivery will only happen after the full amount is paid and confirmed by Luma Solutions LTD.
iii. Once the agreement is signed and the deposit is received, an estimated delivery date will be provided.
iv. The supplier will try to meet the delivery dates outlined in the contract, but these are only estimates and not guaranteed.
v. Once you have received your items, it is important to inspect them within 7 days of receipt.
vi. Luma Solutions LTD is not responsible for any items damaged in transit. If the item is damaged, notify us as soon as possible with photographs.
vii. Please keep all packaging, including crates and foam inserts, in case the equipment needs to be returned.
5. Returns & Refunds
i. We do not offer refunds, and there is a 48-hour automatic cooling-off period. However, this does not affect your rights as a business customer.
ii. Pricing and payment terms are based on our quotation. Any modifications to goods, services, or specifications after the quotation has been provided will result in additional costs, which will be the responsibility of the buyer.
iii. The quoted price includes materials, labour, utilities, and transportation as of the quotation date.
6. Specifications
i. All descriptions, weights, and dimensions provided in the Company's quotation are approximate estimates.
ii. Luma Solutions LTD reserves the right to make reasonable modifications before an order is placed or during the contract, provided they do not compromise the intended purpose of the goods.
iii. Product images are for illustrative purposes only, and slight variations may occur due to display settings and lighting conditions.
7. Testing
i. Upon delivery to our UK depot, our engineer conducts relevant tests to ensure the product is fully functional and compliant with electrical safety standards.
ii. If the purchaser requests additional testing, these tests will be conducted on the purchaser’s premises and will incur an extra charge.
8. Termination
i. Luma Solutions LTD may terminate the contract immediately by written notice if the purchaser: a. Enters into a voluntary arrangement with creditors, is placed under administration, becomes bankrupt, or goes into liquidation.
b. Has a creditor take possession of or appoint a receiver over any of their property or assets.
c. Stops or threatens to stop doing business.
d. Breaches any terms and conditions and does not rectify the issue within 14 days of written notice.
9. Training
i. Training is included with specific equipment purchases and varies based on the device type.
ii. Each course provides a comprehensive understanding of theoretical aspects, hands-on machine operation (with in clinic training only), and practical training.
iii Trainees must demonstrate competence to receive certification.
10. Liability
i. Luma Solutions LTD is not responsible for any loss of income or business resulting from product issues or training.
ii. This includes accidents, product malfunctions, or negligence related to the use of our products.
11. Warranty a. Warranty Coverage
i. All devices come with a 1-year warranty; handles have a 3-month warranty.
ii. Once the warranty expires, clients are responsible for all repairs and replacement costs.
iii. We will, at our discretion, repair or replace any defective machine or component within the warranty period.
iv. Defective parts must be returned at the purchaser’s expense.
v. Repaired parts are covered for 90 days if the machine undergoes regular servicing, or 30 days otherwise.
vi. The warranty does not cover: a. Accidental damage.
b. Normal wear and tear.
c. Issues arising from misuse, improper maintenance, or incorrect storage.
vii. Only authorized distributors or engineers may service or repair machines. Unauthorized modifications will void the warranty.
